Terms of Service

1. Acceptance of Terms

By accessing or using RUDDR ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all users, including Certified Flight Instructors (CFIs), students, and the flight schools and organizations that use the Service, together with their staff.

2. Description of Service

RUDDR is flight training software for independent Part 61 flight instructors, their students, and the flight schools they grow into. The Service includes lesson planning, grading, ACS-aligned progress tracking, scheduling, training records, messaging, and invoicing.

RUDDR prepares and records invoices. It does not process payments, take custody of funds, or act as an intermediary in a payment between two users. Section 5 explains what that means in practice and why it is the central fact of the commercial relationship.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age to create an account. By registering, you represent and warrant that you meet this age requirement.

4. User Roles and Responsibilities

Certified Flight Instructors (CFIs)

CFIs are responsible for ensuring their certifications and ratings are current and accurately represented on the platform. CFIs must comply with all applicable FAA regulations when providing instruction through the Service.

A CFI sets their own rates and their own cancellation terms, invoices their own students, and is paid directly by them. RUDDR is not a party to that agreement.

Students

Students are responsible for the accuracy of their personal information, medical certificates, and flight logbook entries submitted through the Service.

Flight Schools and Organizations

An organization's owners and administrators are responsible for the staff and students they invite, the roles they assign, and the accuracy of the scheduling, aircraft, and training records they keep in the Service, including any required airworthiness documentation.

5. Fees, Payments, and Settlement

RUDDR Takes 0% of Your Invoices

RUDDR does not take a percentage, commission, or transaction fee from any invoice you send through the Service. When a student pays an instructor, the full invoiced amount goes to the instructor. RUDDR is not a recipient of that payment and does not deduct anything from it.

Settlement Is Non-Custodial and Direct

Payments between users settle in USDC on the Solana network, wallet to wallet. The money moves from the payer directly to the recipient. RUDDR never holds, escrows, or takes custody of user funds at any point, and does not operate as a payment processor or money transmitter for those payments.

Because RUDDR is not a party to the transfer, RUDDR cannot reverse, freeze, claw back, or refund it. A dispute over an invoice is between the users who agreed it. RUDDR can produce the records it holds and nothing more.

You are responsible for the wallet address you supply and for the security of your own wallet. A transfer sent to an address you provided cannot be recovered by RUDDR. RUDDR does not control the market price of USDC or the network fees charged by the Solana network, and is not responsible for either.

Buying USDC With a Card

RUDDR does not accept card payments. If you choose to buy USDC with a card, that purchase is made with MoonPay, a third-party on-ramp, under MoonPay's own terms and fees. RUDDR does not receive or store your card details and is not a party to that purchase.

How RUDDR Is Funded

RUDDR is funded by subscriptions, not by a share of your revenue. Published plans are:

• Starter — free. Up to 4 active students.
• Pro — $29 per month, or $290 per year. Up to 25 active students.
• Unlimited — $79 per month, or $790 per year. No cap on the roster.
• Organizations — $99 per month plus $19 per active staff seat. The seat count is taken as a snapshot at each renewal and counts accepted, active staff only — not students, pending invitations, removed staff, or suspended accounts.

Subscriptions are charged in USDC for the period they cover. A price change applies from your next renewal and never to a period you have already paid for. Refund and cancellation terms are set out in the Refund Policy, which forms part of these Terms.

Cancelling a subscription stops the next charge. Access continues to the end of the period already paid for.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Provide false or misleading information
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit malicious code or content
• Violate any applicable FAA regulations or aviation safety standards

7. Intellectual Property

The Service and its original content, features, and functionality are owned by RUDDR and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of content you submit but grant RUDDR a license to use such content to operate and improve the Service.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. RUDDR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. IN NO EVENT SHALL RUDDR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE.

RUDDR IS A TECHNOLOGY PLATFORM ONLY AND IS NOT RESPONSIBLE FOR THE QUALITY OF FLIGHT INSTRUCTION, AIRCRAFT AIRWORTHINESS, OR COMPLIANCE WITH FAA REGULATIONS BY USERS OF THE PLATFORM.

9. Termination

RUDDR reserves the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. You may export your data prior to account termination as described in our Privacy Policy.

If RUDDR terminates a paid account other than for a violation of these Terms, and a paid subscription period has not expired, the unused portion of that period is handled under section 4 of the Refund Policy.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which we operate, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the state in which we operate.
